Management agreement
Under the terms of the Investment Advisory Agreement, the Investment Adviser receives an investment advisory fee from the Company equal to 0.9%. p.a. of the NAV of the Company (net of cash holdings). This fee is calculated and payable quarterly in arrears. The Investment Adviser is also entitled to an arrangement fee of up to 1% of the cost of each asset acquired by the Company. No performance fee is charged. The Investment Advisory Agreement may be terminated by the Company or the Investment Adviser by giving 24 months' written notice.
