The company has been established with an unlimited life. In accordance with the Articles, the Directors are required to propose an ordinary resolution at a general meeting to be held in December 2025 that the Company continues its business as presently constituted. In addition, the Articles provide that the Directors propose an ordinary resolution that the Company continue its business as presently constituted at the annual general meeting to be held in 2031 and at each fifth annual general meeting thereafter. If the Initial Continuation Resolution or any Continuation Resolution is not passed, the Directors will put forward proposals for the reconstruction or reorganisation of the Company to Shareholders for their approval as soon as reasonably practicable following the date on which the Initial Continuation Resolution or any Continuation Resolution (as the case may be) is not passed. These proposals may or may not involve winding up the Company and, accordingly, failure to pass the Initial Continuation Resolution or any Continuation Resolution will not necessarily result in the winding up of the Company.
